Client Terms and Conditions for HireSplit Limited

1. Introduction
Welcome to HireSplit, a premier candidate platform designed to connect talented individuals with leading companies. By accessing and using our website and services, you agree to comply with and be bound by the following terms and conditions. Please read these carefully before using our services.
2. Definitions
- "Platform" refers to our website, app, and any associated services offered by HireSplit.
- "User", "You", and "Your" refer to recruiters and any other users of the Platform.
- "Client" refers to companies or recruiters using HireSplit's services to find and hire candidates.
- "Candidate" refers to referrers and applicants.
- "Referrer" refers to individuals who refer candidates to job opportunities.
- "Applicant" refers to candidates referred to job opportunities through HireSplit.
- "Content" includes all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code.
3. User Responsibilities and Conduct
Users are expected to use the Platform responsibly and ethically. Prohibited activities include:
- Posting inaccurate, false, or misleading information.
- Harassing or discriminating against other users.
- Violating the intellectual property rights of others.
4. Service Description
HireSplit is a quality-based referral software platform. Our unique approach involves sourcing talent personally endorsed by professionals within a network, ensuring a higher caliber and fit for your organization or your clients' organizations. Our platform offers (but is not limited to):
- Qualified Candidate Referrals: Access to a vetted pool of candidates recommended by industry insiders.
- Job Posting Facilities: A user-friendly interface for employers to post their vacancies and attract top talent.
Our services are designed to streamline the hiring process, reduce time-to-hire, and increase the quality of new hires by utilizing a trusted network of referrals. Detailed descriptions of these offerings are available on our Platform.
5. Account Registration and Security
Users must register to access certain features of the Platform. You agree to provide accurate information during registration and to maintain the confidentiality of your login credentials.
6. Trial Period, Fees, and Payment Terms
New clients are eligible for a 3-month trial beginning on the date of their first job posting. The trial period includes specific performance metrics, such as the number of new referrals, placements, and repeat referrers per month. These metrics will be agreed upon individually with each client. Failure to meet these metrics may result in an extension of the trial for an additional three months, contingent upon agreement by HireSplit. HireSplit also reserves the right to charge for additional usage if the metrics are met before the end of the initial trial period.
Fees and Payment Terms:
- Pay As You Go: Access to post up to 10 jobs at a cost of $500.
- Starter Pack: Allows posting of 50 jobs for $2,250.
- SME Pack: Allows posting of 150 jobs for $6,000.
- Medium Enterprise: Up to 300 job postings for $9,750.
- Global Pack: Up to 500 job postings for $15,000.
- Enterprise: Up to 1,000 job postings for $20,000.
- Unlimited Package – priced on a case-by-case basis
Payment is due immediately upon selection of a job posting package, and access to job posting services will be granted once payment is confirmed. All payments are non-refundable. Clients may set their own referral fees, which will be invoiced by HireSplit on a consolidated weekly basis. Payments to referrers will be made in full once HireSplit has received payment from the client, although HireSplit reserves the right to deduct any tax or other liabilities depending on the geographical location of the referrer.
HireSplit invoices clients for candidate referral fees in line with the client's policies around these, which will be provided to candidates on a case-by-case basis when they make a referral. HireSplit will pay the referrer on the 28th of the month after being paid from the client.
HireSplit reserves the right to modify fees and payment terms at any time. Notice of any such changes will be provided to all users in accordance with Section 11 of these Terms and Conditions.
7. Intellectual Property Rights
All content on the Platform, including user-generated content, is the exclusive property of HireSplit or its licensors. By posting content, users grant HireSplit a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in relation to the services provided by the Platform.
8. Termination and Account Cancellation
HireSplit reserves the right to terminate accounts and access to the Platform for users who violate these terms.
9. Disclaimers and Limitation of Liability
HireSplit is not responsible for any errors or omissions on the Platform or for any loss or damage that may arise from the use of the Platform. Our liability to you in any circumstance is limited to 10% of the amount of fees you have paid to us. If no fees have been paid, we are not liable for financial loss.
10. Dispute Resolution and Governing Law
These terms and conditions are governed by the laws of The United Kingdom. Any disputes arising from or related to the use of the Platform will be subject to the exclusive jurisdiction of the courts of The United Kingdom.
11. Changes to Terms and Conditions
HireSplit reserves the right to modify these terms and conditions at any time. We will notify users of any changes through the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new terms and conditions.
